Indeed, contracts have become a common part of our daily lives. We must read, analyze and evaluate contracts in our personal and business lives on an almost daily basis.

Contracts often appear in a "business to business" context such as vendor agreements, commercial real estate transactions or broker agreements. Surprisingly, not every provision included in a contract is automatically enforceable. For example, venue selection clauses and attorney fee provisions are not always enforceable. Similarly, "non compete" agreements are sometimes deemed unenforceable because they are not reasonable with respect to geographic scope or length of time.

On the contrary, courts typically seek to enforce arbitration clauses because the arbitration process lessens the burden on our court system.
