1.SCOPE OF REPRESENTATION

Our law firm engages in the representation of small, closely held corporate entities and their principles.

2. FEE STRUCTURE

The firm charges its corporate clients on an hourly basis, plus expenses. The firm’s current hourly fees range from $85.00 per hour for paralegal time to $250.00 per hour for attorney time. Associates are billed at lower rates depending on years of practice and experience. Billing statements are mailed monthly and due upon receipt. Retainers are generally required at the inception of representation and are commensurate with the nature of the representation.

3. NATURE OF REPRESENTATION

As noted, the firm’s focus is that of litigating on behalf of small business and the individuals who own them. However, representation ranges from the initial corporate structural decision through the drafting of necessary corporate documentation such as operating agreements, shareholder agreements and corporate by-laws, where applicable. Clients may also arrange for annual review and update of corporate minute books.

The firm addresses corporate transactional matters including the drafting and review of vender and employee contract matters, analysis of non-compete and non-disclosure agreements, buy-sell agreements, commercial lease agreements and option to purchase agreements.

In pursuing litigation the firm seeks to utilize the most current digital technology and in cases involving large quantities of documentation, will have documents scanned and recorded digitally for fast and convenient retrieval.

4. REFERENCES

The firm regards representation as a confidential matter. However, for those who are serious about engaging the services of the firm, we have received permission from various corporate clients to include them in a listing of references. Such references are available upon request.
